Making A Purchase Zeal Music Limited Agreement for Rent and/or Sale

BY PLACING AN ORDER WITH ZEAL MUSIC LIMITED YOU ARE DEEMED TO HAVE ACCEPTED THE TERMS AND CONDITIONS SET OUT BELOW
1. DEFINITIONS
1.1 'Zeal Music'
"Zeal Music" shall mean Zeal Music Limited (a company registered in England under co. number 7172790) whose registered office is Wellesbourne Road, Barford, Warwick, CV35 8EL, England.
1.2 'Customer'
"Customer" shall mean the individual(s) entering into this Agreement with Zeal Music.
1.3 'Product(s)'
"Product(s)" shall mean the musical instrument(s), amplification equipment, audio effects pedals, recording equipment, merchandise, musical stands, cables and convertors, musical lessons, software and hardware, accessories and any other items that are hired or sold by Zeal Music to the Customer under this Agreement.
1.4 'Rent'
"Rent" shall mean the Rent, Rental of Product or Products, the term 'hire' shall have the same meaning as 'Rent' for the purpose of this agreement.
2. ENTIRE AGREEMENT
2.1 This Agreement is made between Zeal Music and the Customer and is effective from the date that the Customer's order is accepted by Zeal Music.
2.2 These terms and conditions, the advertised prices of the Products and the order constitute the entire agreement between Zeal Music and the Customer.
2.3 No variation of these terms and conditions is effective unless confirmed in writing by an authorised employee of Zeal Music.
2.4 Zeal Music reserves the right to change these terms and conditions at any time. Any such changes will take effect when posted on the website or otherwise and howsoever brought to the attention of the Customer notwithstanding that the Customer may be familiar with a version of the terms and conditions through a course of dealings with Zeal Music.
3. ORDERS AND ACKNOWLEDGMENT
3.1 An order for the hire or purchase of a Product or Products may be placed by telephone or using the Zeal Music online ordering facility. For the rental of a Product or Products a Rental Agreement Schedule, 'Schedule A', containing the details of the Customer, Product or Products, replacement values, rental period and the rental prices may be used depending on the value of the Product or Products being Rented.
3.2 The price of the rental or sale of the Product(s) shall be Zeal Music's quoted price. All prices are quoted in Sterling and are subject to VAT at the rate of [17.5] % prevailing on the date of this agreement. Once an order has been accepted by Zeal Music, an e-mail confirmation will be sent to the Customer (where a valid e-mail address is provided).
3.3 An order for the Rental of Product or Products will require payment of a Security Deposit in advance prior to commencement of the rental agreement.
3.4 Zeal Music makes every effort to ensure that the descriptions and content on its website are current. However, Zeal Music does not give any warranty as to the accuracy of any such information. The Products and prices listed on the website or any other medium constitute an invitation to treat.
3.5 Where a Product is not available or becomes unavailable following acceptance of an order, the Customer will be advised as soon as reasonably possible and offered an alternative Product or a refund for the value of the amount paid in respect of the Product not available.
3.6 This Agreement shall govern the relationship between Zeal Music and the Customer to the exclusion of any other terms and conditions subject to which any order is made or purported to be made by the Customer.
4. PAYMENT
4.1 Payment in full is required to secure an order, where Product(s) are being Rented, payment of the minimum rental term is required in full, in advance, to secure the Rental order.
4.2 An additional security deposit (the "Security Deposit") against potential late return, damage or loss to Product(s) that are Rented to the Customer will be required at prevailing rates or as stated on the Rental Agreement in Schedule A. The Security Deposit will be returned to the Customer on return of the Product(s) on the due date, subject to compliance by the Customer with the terms of this Agreement.
4.3 Customers may terminate the Rental Agreement before the Agreement termination date however no refund of the minimum Rental term payment will be given.
5. DELIVERY AND COLLECTION
5.1 Product(s) purchased by the Customer will be delivered by the delivery method detailed on the Website or as otherwise agreed by Zeal Music.
5.2 For Product(s) which are Rented the Customer will collect the Product(s) from Zeal Music unless alternative arrangements are agreed. At the esxpiry of the Rental Agreement the Customer will, at their own expense, return the Product(s) to Zeal Music by a method agreed by Zeal Music.
5.2 Zeal Music shall not be liable for a failure to deliver Product(s) or any delay in doing so or for any damage or defect to Product(s) delivered that is caused by any event or events beyond Zeal Music's control, including but not limited to, an act of God, hostilities, terrorism, industrial strikes, lock-out or other industrial disputes, breakdown of systems or network access, flood, fire, explosion or accident.
5.3 Failure to return the Rented Product(s) at the agreed date and time constitutes 'late return' and will result in additional hire charges thereafter until the Product(s) are returned. In the event that Product(s) are not returned within 7 days of the Rental Agreement expiry date the Customer shall become liable for the replacement cost of the products as detailed in the Rental Agreement Schedule A, which is payable by the Customer immediately.
5.4 In the event that Zeal Music have to travel to collect the Product(s) it reserves the right to charge reasonable travelling expenses for the initial trip and any return visit required to collect all items on hire under the hire agreement.
5.5 Where Zeal Music is required to deliver and / or collect between a Customer's address and Zeal Music's registered office. Travel will be charged at [ 2 ] pounds per mile for mileage, subject to management discretion.
6. DISTANCE SELLING REGULATIONS
6.1 Under the Consumer Protection (Distance Selling) Regulations 2000 the Customer has the right to cancel the order provided notice of cancellation is given to Zeal Music within 7 working days and the Customer acts in accordance with these terms and conditions, provided that Zeal Music has not commenced providing the Product(s) or Services to be supplied under this Agreement, in which event this right shall lapse.
6.2 If the Customer has opened the packaging on the Product or Products this right shall lapse.
6.3 Cancellation must be notified in writing and is only effective when Zeal Music confirm it to the Customer in writing. The Customer does not need to state the reason for cancellation nor will there be any penalty payable. Once Zeal Music has accepted the Customer's cancellation, any payment received will be refunded within 30 days.
6.4 For the avoidance of doubt the distant selling regulations only apply to Product(s) sold or Rented where the Customer does not collect the Product or Products from Zeal Music.
7. TITLE AND INSURANCE OF PRODUCT(S)
7.1 All Product(s) supplied by way of the Rental Agreement to Customers under this Agreement remain the sole and absolute property of Zeal Music at all times during the Rental Agreement.
7.2 For the avoidance of doubt and notwithstanding anything else in this Agreement, all Product(s) sold to Customers under this Agreement shall remain the sole and absolute property of Zeal Music until payment has been received in full.
7.3 The Customer must insure Product(s) on Rental from Zeal Music at all times to the full replacement value quoted in Rental Agreement Schedule A. The insurance will be at the Customers expense and must be with a reputable insurer, evidence of such insurance must presented to Zeal Music within 5 working days of the date of the request.
7.4 The Customer must not sell, loan, rent, hire or part with possession of the Product(s) except for the purpose of their maintenance or repair.
7.5 Where hired Product(s) require maintenance or repair this will be at the expense of the Customer. Any maintenance or repair work required that is not arranged by Zeal Music must be approved by Zeal Music in advance of the work being completed, where such approval is not unreasonably withheld.
8. DAMAGE AND LOSS CHARGES FOR RENTED PRODUCT(S)
8.1 Any damage, whether accidental or otherwise, to any part of a Rented Products(s) will be repaired or replaced by a supplier approved by Zeal Music at the Customers expense. The Security Deposit will be used to meet this expense. Where damage is considered by Zeal Music to be extensive, that part of the cost of repairing or replacing the Product(s) which exceeds the amount of the Security Deposit shall be payable by the Customer to Zeal Music immediately.
8.2 For the avoidance of doubt the Security Deposit is not the limit of the financial liability for Rented Product(s). The Replacement Value as detailed in Schedule A represents the liability for the loss or un-repairable damage to Product(s) Rented, plus any reasonable expenses incurred by Zeal Music related to the administration of recovery and or settlement of such liabilities by the Customer.
8.3 The Customer shall be liable for the cost of replacing the Product(s) in the event of failure to return the Product(s) within 7 days of the Rental Agreement expiry date, as detailed in Schedule A.
8.4 Replacement charges for Product(s) shall be charged at the prevailing purchase rates on Zeal Music Website or the Replacement Value as stated on the Rental Agreement Schedule A. Zeal Music reserves the right to charge reasonable administration costs incurred related to the collection of the replacement charges.
8.5 Where Zeal Music is required to incur administration costs related to damage or loss matters these will be charged to the Customer a the rate of NETQUOTEVAR:30 pounds per hour, subject to management discretion.
9. LIABILITY
9.1 All statutory or other warranties, conditions, descriptions or representations, express or implied, as to the state, quality or fitness of the Products) the subject of this Agreement are expressly excluded to the extent that it is reasonable in all the circumstances to do so. Zeal Music shall not be liable for any indirect or consequential loss of any kind in contract, tort or otherwise arising. Zeal Music shall only be liable for direct losses caused by Zeal Music (except for liability for death or personal injury caused by Zeal Music's negligence) up to a maximum of the price of the Product(s) giving rise to the claim. The statutory rights of the Customer for the purposes of the Consumer Transactions (Restrictions on Statements) Order 1976 are not affected.
9.2 Any waiver or amendment of any provision of this Agreement shall be effective only if made by an express written Agreement between parties.
9.3 No waiver by Zeal Music of any breach of these terms and conditions by the Customer shall be treated as a waiver of any subsequent breach of the same or any other provisions.

10. DATA PROTECTION
Zeal Music reserves the right to make a nominal charge if the Customer requests access to its contact details held on Zeal Music's database more than once in any 12 month period. This does not affect your rights under the Data Protection Act 1998.
11. APPLICABLE LAW
This Agreement shall be governed by, and construed in accordance with, English Law and subject to the exclusive jurisdiction of the English courts.
